AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and LST Leadgen ("Company", "we", "us", or "our"), concerning your access to and use of our website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms and Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

MODIFICATIONS TO TERMS

We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates.

JURISDICTION AND COMPLIANCE

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The Site and its content are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.

USER REPRESENTATIONS

• You have the legal capacity to accept these Terms and Conditions
• You are at least 18 years old
• You will not access the Site through automated or non-human means
• You will not use the Site for any illegal or unauthorized purpose
• Your use of the Site will not violate any applicable Indian law or regulation

SERVICE TERMS

Payment and Billing

• We offer multiple service models: Pay-per-lead, Retainer, and Retainer + Revenue Share.
• Pay-per-lead: Billed at the end of each month for all leads generated.
• Retainer: Due upfront at the beginning of each billing cycle.
• Retainer + Revenue Share: Retainer portion due upfront, revenue share calculated as per agreement.
• Onboarding fees are charged upfront for all service models.
• Payments can be processed through Stripe, Wise, or Payoneer in USD/INR unless otherwise specified.
• Late Payments: 15-day grace period, 5% per day interest charge, possible service suspension.

Revenue Share Verification

• Client must provide access to CRM system.
• Signed client agreements must be made available.
• LST Leadgen reserves the right to audit revenue calculations.

INTELLECTUAL PROPERTY RIGHTS

The Site and all contents, including but not limited to text, images, graphics, logos, are our property or the property of our licensors and are protected by Indian and international copyright laws.

PROHIBITED ACTIVITIES

• Systematically retrieving data or content from the Site.
• Making unauthorized use of our services or systems.
• Circumventing or disabling any security features.
• Using the Site to compete with our business.
• Attempting to decompile or reverse engineer any software.
• Engaging in any automated use of the system.
• Interfering with or disrupting the Site or servers.
• Attempting to impersonate another user.
• Using the Site for any illegal purpose.

THIRD-PARTY WEBSITES

The Site may contain links to third-party websites. We are not responsible for their content, privacy practices, or any harm caused by your access to such websites.

TERMINATION

• We reserve the right to terminate your access to the Site without notice.
• We may cancel ongoing services with appropriate notice.
• Legal action may be taken for any violations of these terms.

LIMITATION OF LIABILITY

IN NO EVENT SHALL LST LEADGEN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.

INDEMNIFICATION

You agree to indemnify and hold LST Leadgen harmless from any claims, losses, damages, liabilities, including legal fees, arising out of your use or misuse of the Site or Services.
